Terms of Service

1. Agreement to Terms

By downloading, installing, or using Focusly ("the App"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the App.

2. License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for your personal or internal business purposes.

You may:

• Install the App on devices you own or control
• Use the App for personal or commercial productivity
• Export your own data from the App

You may not:

• Reverse engineer, decompile, or disassemble the App
• Remove or modify any proprietary notices
• Rent, lease, lend, sell, or redistribute the App
• Use the App for any illegal purposes

3. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we handle your data (spoiler: we don't collect any!).

4. Purchases and Payments

Focusly is available for purchase through the Apple Mac App Store. All purchases are subject to Apple's Terms of Sale and refund policies.

• One-Time Purchase: Focusly is sold as a one-time purchase with no recurring fees
• Refunds: Handled through Apple's refund process
• Updates: Free updates for the current major version (v1.x)

5. App Functionality

Focusly provides productivity tools including but not limited to:

• Pomodoro timer functionality
• Task management
• Calendar integration (requires user permission)
• Productivity statistics
• Break activity suggestions

Calendar Access: Calendar integration is optional. You can grant or revoke calendar access at any time through macOS System Settings.

6. User Data and Storage

Local Storage: All data generated by the App is stored locally on your device. We do not have access to your data.

Your Responsibility: You are responsible for:

• Backing up your data (via Time Machine or manual backup)
• Maintaining device security
• Protecting your Mac with appropriate passwords/encryption

7. Updates and Modifications

We reserve the right to:

• Update the App to add features or fix bugs
• Modify these Terms with reasonable notice
• Discontinue features (with notice when reasonably possible)

Major version updates (v2.0+) may be offered as paid upgrades with special pricing for existing users.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The App will be error-free or uninterrupted
• Defects will be corrected
• The App is free of viruses or harmful components
• Results from using the App will meet your requirements or expectations

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount you paid for the App ($7.99 USD or equivalent).

10. Calendar Integration

Calendar Access: If you grant calendar permissions:

• The App reads calendar events to provide scheduling features
• Calendar data is processed locally and never transmitted off your device
• You can revoke access at any time in System Settings

No Liability: We are not responsible for calendar sync issues, missed meetings, or scheduling conflicts. The App provides suggestions but you are responsible for managing your schedule.

11. macOS Requirements

Focusly requires macOS 13.0 (Ventura) or later. The App may not function properly on unsupported operating systems. We reserve the right to discontinue support for older macOS versions.

12. Intellectual Property

Focusly and all associated trademarks, service marks, graphics, and logos are owned by us. You may not copy, imitate, or use them without our prior written consent.

Open Source: While Focusly is open source, the name "Focusly" and associated branding are protected trademarks.

13. Termination

You may stop using the App at any time by deleting it from your device. We may terminate or suspend your access if you violate these Terms.

Upon termination:

• Your license to use the App ends immediately
• You must delete the App from all devices
• Your locally stored data remains on your device

14. Support

We provide support via email at support@focusly.unquest.ai. Support is provided on a best-effort basis with no guaranteed response time.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the developer resides, without regard to its conflict of law provisions.

16. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the App after changes constitutes acceptance of the modified Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

19. Entire Agreement
